1. Agreement to these Terms
These Terms of Service ("Terms") are an agreement between you and Vertex Group ("Vertex Group," "we," "us," or "our") governing your access to and use of the PeriHop mobile game, playable web demo, website, and related materials (together, the "Services"). By downloading, accessing, or using the Services, you agree to these Terms and our Privacy Policy.
If you do not agree, do not use the Services. Additional terms from Apple, Google, your device manufacturer, or another distribution platform may also apply.
2. Eligibility and younger players
You must be legally capable of entering this agreement where you live. If you are not, a parent or legal guardian must review and accept these Terms for you and supervise your use. A parent or guardian who permits a minor to use the Services is responsible for that minor's use to the extent allowed by law.
3. Limited license
Subject to these Terms, Vertex Group grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use one copy of the game on devices you own or control, and to use the website and demo, solely for personal, non-commercial entertainment.
You may not copy, sell, rent, distribute, publicly perform, modify, create derivative works from, reverse engineer, decompile, or attempt to extract source code from the Services except where such a restriction is prohibited by applicable law or permitted by an applicable open-source license.
4. Acceptable use
You agree not to:
- interfere with, overload, damage, or bypass the security or operation of the Services;
- use bots, automation, modified clients, exploits, or unauthorized tools to manipulate gameplay or future rankings;
- upload or transmit malware or unlawful, infringing, abusive, or deceptive material;
- misrepresent affiliation with Vertex Group or use our names, art, or marks to impersonate us;
- use the Services to violate law or the rights of another person; or
- assist another person in doing any of the above.
5. Game progress and virtual items
PeriHop may award scores, shards, cosmetic styles, achievements, or other virtual game elements. They are licensed, not sold; have no cash value; cannot be redeemed for money or property; and may not be transferred outside functionality we expressly provide.
Current progress is stored locally. Clearing app data, deleting the app, changing devices, device failure, or backup settings may cause progress to be lost. We do not promise to recover local progress. We may balance, modify, or discontinue game features or virtual elements when reasonably necessary to operate or improve the Services.
6. App stores and third-party services
Your download and use may be subject to an app store's terms. The store provider, not Vertex Group, operates store accounts, downloads, native ratings, platform backups, and any store-level payment or refund process. Links to third-party services are provided for convenience and do not mean we control or endorse them.
Apple-specific notice
If you obtain PeriHop through Apple's App Store, these Terms are between you and Vertex Group, not Apple. Apple has no obligation to maintain or support the game. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the applicable license terms against you.
7. Intellectual property and feedback
The Services—including their software, gameplay presentation, art, graphics, sound, text, characters, logos, and trademarks—are owned by Vertex Group or its licensors and protected by intellectual-property laws. Except for the limited license above, no rights are granted to you.
If you voluntarily send suggestions or feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use it without restriction or compensation, provided we do not identify you publicly without permission.
8. Availability and disclaimers
We aim to make PeriHop joyful and reliable, but the Services may occasionally be unavailable, contain errors, or change. To the maximum extent permitted by law, the Services are provided "as is" and "as available," without warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or error-free operation.
Nothing in these Terms excludes warranties or consumer guarantees that cannot lawfully be excluded.
9. Limitation of liability
To the maximum extent permitted by law, Vertex Group and its affiliates, officers, employees, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, progress, revenue, profits, goodwill, or use arising from the Services.
Where liability cannot be excluded, our total liability for claims relating to the Services will not exceed the greater of the amount you paid Vertex Group for the Services during the twelve months before the claim or US$25. These limits do not apply to liability that cannot legally be limited, including where applicable liability for fraud, willful misconduct, or personal injury caused by negligence.
10. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, or misuse the Services. We may also discontinue all or part of the Services after reasonable notice where practical. Provisions that by their nature should survive termination—including ownership, disclaimers, liability limits, and general terms—will survive.
11. General terms
Changes
We may update these Terms to reflect changes to the Services, law, or our practices. We will post updated Terms and revise the date above. If a material change requires consent, we will request it as required by law. Continued use after the effective date means you accept the revised Terms.
Governing law and disputes
These Terms are governed by the laws applicable at Vertex Group's principal place of business, without regard to conflict-of-law rules, except that mandatory consumer protections and your right to bring a claim in a competent local court remain unaffected. Before filing a formal claim, please contact us and allow 30 days for an informal resolution.
Entire agreement; severability; assignment
These Terms and the Privacy Policy are the entire agreement about the Services. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest will remain effective. Our failure to enforce a term is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a reorganization, financing, merger, acquisition, or transfer of the Services.
